Terms of Service

1. Agreement and Scope

These Terms of Service ("Terms") constitute a binding agreement between you ("User", "Customer", or "you") and THEKROLL LTD, a company incorporated in Cyprus with registered address at Akathiotis 2, 7000 Meneou, Cyprus ("we", "us", "Company", or "docs101").

By accessing or using our SaaS platform for invoice generation and management ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

docs101 provides a cloud-based Software-as-a-Service platform offering:

  • Invoice Generation: Creation of EU-compliant invoices including ZUGFeRD/Factur-X structured electronic invoices
  • VAT Validation: Integration with EU VIES system for VAT ID verification
  • Document Validation: PDF processing and validation tools
  • Templates and Customization: Professional invoice templates and branding options
  • API Access: Programmatic access to invoice generation (plan-dependent)
  • Third-party Integrations: Time tracking and accounting software integrations
  • Data Export: Export capabilities in various formats

Service features and limitations vary by subscription plan (Free, Pro, Enterprise). Current plan details are available on our pricing page.

3. User Accounts and Registration

To use the Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Maintain the security and confidentiality of your login credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You may not create accounts for fraudulent purposes or misrepresent your identity or affiliation.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer various subscription tiers with different features and usage limits. Plan details and pricing are available on our website and may be updated from time to time.

4.2 Billing and Payment

  • Subscriptions are billed monthly or annually in advance
  • All payments are processed securely through Stripe
  • Prices are in EUR and exclude applicable taxes (VAT)
  • Payment is due immediately upon subscription or renewal
  • Failed payments may result in service suspension or termination

4.3 Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.

4.4 Refund Policy

We offer a 14-day refund period for annual subscriptions. Monthly subscriptions are generally non-refundable, except at our sole discretion or as required by law.

5. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Generate fraudulent, misleading, or deceptive invoices
  • Provide false VAT IDs or business information
  • Attempt to gain unauthorized access to our systems or other users' data
  • Use automated tools to scrape or extract data from the Service
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Resell or redistribute the Service without authorization

6. Data and Content

6.1 Your Data

You retain ownership of all data, content, and information you input into the Service ("Customer Data"). You grant us a limited license to process this data solely to provide the Service.

6.2 Data Accuracy and Compliance

You are solely responsible for:

  • The accuracy and completeness of all data you provide
  • Compliance with tax, accounting, and legal requirements in your jurisdiction
  • Ensuring proper authorization for processing customer personal data
  • Backup and recovery of your critical business data

6.3 Data Export and Portability

You may export your data at any time through the Service interface. Upon subscription termination, we will provide reasonable assistance in data export for a period of 30 days.

7. Intellectual Property Rights

The Service, including all software, templates, designs, text, graphics, and other content, is owned by THEKROLL LTD and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

You may not copy, modify, or create derivative works of the Service

  • Reverse engineer or attempt to extract source code
  • Remove or alter proprietary notices
  • Use our trademarks without written permission

8. Third-Party Services and Integrations

Our Service may integrate with third-party services (e.g., VIES VAT validation, payment processors, time tracking tools). These integrations are provided "as-is" and we do not guarantee their availability, accuracy, or performance. Your use of third-party services is subject to their respective terms and conditions.

9. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Support is provided according to your subscription plan level.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice, except in cases of immediate security threats or legal requirements.

10. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms. We comply with applicable data protection laws including GDPR.

11. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • WE DO NOT ACCEPT RESPONSIBILITY FOR THE LEGAL OR FACTUAL ACCURACY OF INVOICES GENERATED THROUGH THE SERVICE
  • WE ARE NOT LIABLE FOR TAX COMPLIANCE, ACCOUNTING ERRORS, REGULATORY VIOLATIONS, OR BUSINESS DECISIONS RESULTING FROM YOUR USE OF THE SERVICE
  • WE CANNOT BE HELD LIABLE FOR DAMAGES, LOSSES, OR CLAIMS ARISING FROM THE CONTENT, FORMAT, OR USE OF INVOICES YOU CREATE

Important: You acknowledge that invoice accuracy, tax calculations, legal compliance, and business decisions remain your sole responsibility. Our Service provides tools and templates but does not constitute legal, tax, or accounting advice.

This limitation does not apply to liability for death, personal injury, fraud, or gross negligence, and does not affect your statutory rights as a consumer where applicable.

12. Indemnification

You agree to indemnify and hold harmless THEKROLL LTD from claims, damages, and expenses (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights
  • Your Customer Data or content

13. Termination

Either party may terminate this agreement:

  • By You: At any time by cancelling your subscription
  • By Us: For material breach of these Terms, non-payment, or violation of acceptable use policy
  • Immediate Termination: For illegal use, security threats, or court orders

Upon termination, your access to the Service will cease, and we may delete your data after a reasonable grace period (typically 30 days).

14. Modifications to Terms

We may modify these Terms from time to time. Significant changes will be communicated via email or service notification at least 30 days in advance. Continued use of the Service constitutes acceptance of modified Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.

For EU consumers: This does not affect your rights under mandatory consumer protection laws in your country of residence.

16. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision does not waive our right to do so later. These Terms constitute the entire agreement between the parties regarding the Service.
